The Service may allow you to upload, submit, store, post, or otherwise share content, including transactions, notes, journal entries, receipts, support attachments, and other materials you choose to provide (“User Content”). You are solely responsible for all User Content you submit to the Service.

You represent and warrant that, with respect to your User Content:

  • you own or otherwise have all necessary rights, licenses, consents, and permissions to submit it;
  • it does not and will not infringe, misappropriate, or violate any third party’s copyright, trademark, patent, trade secret, publicity, privacy, or other proprietary or legal right;
  • you will not upload copyrighted material unless you are the rights holder or are authorized to do so;

We reserve the right (but not the obligation) to review, remove, or disable access to any User Content at any time, in our sole discretion, without notice. We may suspend or terminate the accounts of users who are repeat infringers or who repeatedly violate these Terms.

5.Content License

You retain ownership of your User Content. By submitting User Content to the Service, you grant Student Money Mentors a worldwide, non-exclusive, royalty-free, sublicensable (to the extent needed to operate the Service) license to host, store, reproduce, display, process, and transmit your User Content solely as necessary to operate, maintain, improve, secure, and promote the Service.

This license is limited to the purposes described above and continues for as long as your User Content is stored on the Service. You may delete your User Content through the Service, and we will remove it as described in these Terms and our Privacy Policy.

6.Copyright Infringement / Takedown Policy

We respect intellectual property rights and expect our users to do the same. If you believe that any User Content on the Service infringes your copyrighted work, you may submit a takedown request to our designated copyright contact listed below.

To be effective, your request must include:

  • your full contact information (name, address, telephone number, and email);
  • clear identification of the copyrighted work you claim has been infringed;
  • identification of the specific material you believe is infringing, including enough information for us to locate it;
  • a statement that you have a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
  • a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf; and
  • your physical or electronic signature.

We may remove or disable access to allegedly infringing material while a request is being investigated. We may terminate the accounts of users who are determined to be repeat copyright infringers.

We reserve the right to investigate reports and to remove, restrict, or disable access to content and accounts where appropriate, in our sole discretion and as permitted by applicable law.

Upon termination, your right to use the Service ends. Sections of these Terms that by their nature should survive termination will remain in effect, including those relating to your User Content, intellectual property, disclaimers, limitation of liability, and indemnification.

10.Limitation of Liability

To the fullest extent permitted by applicable law, Student Money Mentors LLC, its owners, employees, contractors, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of the Service or these Terms, even if advised of the possibility of such damages.

Without limiting the above, Student Money Mentors is not liable for:

  • User Content, including uploads, posts, files, photos, comments, messages, or other materials submitted by users;
  • the accuracy, reliability, or appropriateness of User Content;
  • your or anyone else’s reliance on User Content; and
  • disputes between users or between users and third parties arising from User Content.

In no event shall Student Money Mentors LLC’s total aggregate liability for any claim arising out of or related to the Service or these Terms exceed the amount paid by you to Student Money Mentors LLC during the twelve (12) months immediately preceding the event giving rise to the claim. If you have never paid any amount for the Services, Student Money Mentors LLC’s liability is limited to the fullest extent permitted by applicable law.

The Service is provided for general educational and informational purposes. We do not guarantee any financial outcome from using the Service.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability that arises from gross negligence, willful misconduct, fraud, or any other liability that applicable law does not permit us to waive. These Terms do not affect any non-waivable consumer protection rights you may have under applicable law.

11.Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Student Money Mentors LLC and its owners, employees, contractors, affiliates, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • your misuse of the Service;
  • your violation of these Terms or any applicable law;
  • your unlawful conduct;
  • your infringement or misappropriation of any third party’s intellectual property or other rights;
  • any User Content you submit, upload, post, or otherwise transmit through the Service; and
  • any unauthorized use of your account.

Student Money Mentors reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses. You may not settle any matter without our prior written consent. This section survives termination of these Terms.

12.Governing Law & Venue

Student Money Mentors LLC is based in Ohio. These Terms, and any dispute or claim arising out of or related to them or to your use of the Service, are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict-of-laws principles.

Subject to any mandatory venue or jurisdiction requirements of applicable law (including consumer-protection provisions that cannot be waived), you and Student Money Mentors LLC agree that the state and federal courts located in Ohio are the exclusive venue for the resolution of any such dispute, and each party submits to the personal jurisdiction of those courts.

13.Third-Party Services & Links

The Service may contain links to, or interact with, third-party websites, services, tools, or content that we do not control. We provide links and access to third-party services for convenience and do not endorse and are not responsible for their content, products, services, privacy practices, or availability. Your use of third-party services is governed by those providers' terms and policies, and any dealings you have with them are solely between you and the third party. Student Money Mentors is not liable for any damage or loss resulting from your use of third-party services or external links.

14.Beta or Experimental Features

We may offer features labeled or considered beta, preview, experimental, or similar. These features may be incomplete, may change without notice, and may be discontinued at any time, and they may contain errors or limitations. You use beta or experimental features at your own risk, and to the fullest extent permitted by applicable law, Student Money Mentors is not liable for any damage or loss resulting from your use of such features.

15.Force Majeure

To the fullest extent permitted by applicable law, Student Money Mentors is not liable for any delay or failure to perform its obligations under these Terms to the extent caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, power outages, and actions or omissions of third-party service providers.

16.Assignment

You may not assign, transfer, or sublicense these Terms or your rights or obligations under them, in whole or in part, without our prior written consent. We may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, sale of assets, or reorganization. Any attempted assignment in violation of this section is void.

17.Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or, if it cannot be made valid and enforceable, severed from these Terms. The remaining provisions will continue in full force and effect.

18.Waiver

No failure or delay by Student Money Mentors in exercising any right or remedy under these Terms operates as a waiver of that right or remedy, and no single or partial exercise of any right precludes any further exercise of that or any other right. A waiver is effective only if in writing and signed by us, and applies only to the specific instance described.

19.Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Student Money Mentors regarding your use of the Service and supersede all prior or contemporaneous understandings, communications, and agreements, whether written or oral, regarding that subject matter.
